1. Acceptance of Terms

By accessing or using BakerSmart, LLC ("BakerSmart," "we," "us," or "our") websites, mobile applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

BakerSmart provides an online platform that enables home bakers ("Bakers" or "you") to create storefronts, schedule bake days, list products, accept orders, and process payments through Stripe payment processing. Customers can browse bakeries, place orders, make payments, and receive order updates.

3. Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that:

• You are of legal age to form a binding contract
• You have the authority to enter into these Terms
• All information you provide is accurate and complete
• You will maintain the accuracy of such information

4. Account Registration and Security

4.1 Baker Accounts

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized use of your account
• You may not create multiple accounts to circumvent system limitations

4.2 Customer Accounts

• Customers may browse and purchase from bakeries without creating an account
• Customer information collected at checkout is used for order processing and communication

5. Subscription Tiers and Payment

5.1 Subscription Plans

• Scone Plan ($15/month): Up to 50 products, 4 active bake days, custom subdomain, order management, email support
• Croissant Plan ($29/month): Unlimited products, unlimited bake days, custom subdomain, order management, priority support, discount codes
• The Scone plan includes a 30-day free trial
• Pricing and features are subject to change with 30 days' notice

5.2 Payment Processing

• Payments are processed through Stripe
• You agree to comply with Stripe's terms and conditions
• Standard processing fees (2.9% + $0.30 per transaction) apply to all card payments
• These fees are separate from subscription fees
• Subscript ions are billed monthly in advance

5.3 Refunds and Cancellations

• Subscription fees are non-refundable after the free trial period
• Bakers may cancel their subscription at any time through the dashboard
• Cancellation takes effect at the end of the current billing period
• Refunds for product purchases are at the discretion of individual bakers

6. Content and Intellectual Property

6.1 Your Content

• You retain ownership of content you submit (products, images, descriptions)
• You grant BakerSmart a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content as necessary to provide the Service
• You represent that you have all rights necessary to grant this license

6.2 Restrictions

You may not:

• Upload content that is illegal, harmful, or infringes any third party rights
• Use the Service for illegal or fraudulent purposes
• Upload viruses or malicious code
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer or attempt to extract source code
• Copy or resell the Service without permission

7. User Obligations

7.1 Bakers

You agree to:

• Provide accurate product descriptions and pricing
• Fulfill orders in a timely and satisfactory manner
• Maintain any required food permits and licenses
• Comply with local health and safety regulations
• Respond to customer inquiries promptly
• Process refunds according to your stated policies

7.2 Customers

You agree to:

• Provide accurate information when placing orders
• Make timely payments for orders
• Pick up orders during the designated times
• Notify the baker if you need to cancel or modify an order
• Respect the baker's policies and terms

8. Text Message Notifications

8.1 Opt-In Consent

• Customers may opt in to receive text message notifications about their orders
• By checking the opt-in box and providing your phone number, you consent to receive automated text messages
• Message frequency varies based on order status updates
• Standard message and data rates may apply

8.2 Opt-Out

• You may opt out of text messages at any time by replying "STOP"
• Opting out will not affect your ability to receive email notifications
• Bakers may also opt out of receiving text notifications in their account settings

8.3 Message Content

• Text messages may include order confirmations, updates, pickup reminders, and status changes
• Messages are sent via automated systems
• We do not control carrier message delivery

9. Disclaimers and Limitations

9.1 Service Availability

• BakerSmart is provided "as is" and "as available" without warranties
• We do not guarantee uninterrupted or error-free operation
• We reserve the right to modify, suspend, or discontinue the Service

9.2 Product Liability

• BakerSmart is not responsible for products sold by bakers
• Bakers are independent sellers and responsible for their products
• BakerSmart is not a party to transactions between bakers and customers
• Disputes about products must be resolved directly with bakers

9.3 Limitation of Liability

• BakerSmart's liability is limited to the amount paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• Some jurisdictions do not allow these limitations

10. Indemnification

You agree to indemnify BakerSmart, its affiliates, officers, directors, employees, and agents from claims arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party rights
• Product liability claims related to your products

11. Termination

11.1 By You

• You may terminate your account at any time by contacting us at support@bakersmart.co
• Outstanding fees remain due
• Termination does not affect orders already placed

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Abuse the Service or other users

12. Governing Law

These Terms are governed by the laws of the United States and the state in which BakerSmart is incorporated, without regard to conflict of law principles.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting an updated version on our website
• Sending an email to the address associated with your account
• Continued use after changes constitutes acceptance
